Ethical culture The SHR code of ethics, supported by the acronym ASPIRE, was completed in the 2019/2020 financial year. The current focus is on ensuring that the code is a living document, adopted by and meaningful to all SHR members. The Chairpersons’ Committee therefore took the initiative to work with the leadership structure across the SHR. No whistleblower line reports were received in the 2023/2024 financial year. The SANParks Honorary Rangers is committed to good governance as articulated in King IV to achieve the core outcomes of an ethical culture, good performance, effective control and legitimacy. The Board is satisfied with the application of corporate governance in 2023/2024 as recommended by King IV on a proportional basis for the size and nature of the SHR. Good performance The Board, together with the Exco and Chairpersons’ Committee, formulates strategy as outlined on page 40. Although key performance indicators have been implemented for the Chief Executive, this practice still needs to be rolled out across the Exco. Regular financial reporting improved over the period and the organisational budget developed. To ensure that Board members understand their responsibilities, training tailored to the SHR was provided through the Institute of Directors of Southern Africa (IoDSA). The Board and each Board committee has an annual work plan to ensure that all governance matters are timeously completed. Effective control The Audit and Risk Committee (ARC) will focus on improving financial oversight and reporting during the current financial year and oversee the implementation of a risk management methodology and risk register. The Board and ARC recognise that more focus is required in these areas. Legitimacy This report serves as our annual report to stakeholders, including members. Our approach to stakeholder management is outlined on page 38. The Board is aware that more is required to transform the SHR to better match and serve the demographics of South Africans.
